Institutional NDA Standard

Before sharing sensitive architectural blueprints, API access keys, or product roadmaps, Operance Labs executes a bilateral Mutual Non-Disclosure Agreement (MNDA) with every prospective client. This document outlines our standard institutional terms, ensuring both parties can discuss feasibility with total legal confidence.

This MNDA applies to technical evaluations, pricing discovery, codebase audits, and formal commercial engagements executed by Operance Labs (HQ: 471, AR Mall, Surat - 394105, Gujarat, India).

"Confidential Information" encompasses all non-public technical, commercial, financial, and architectural data disclosed by either party ("Disclosing Party") to the other ("Receiving Party"), including:

• Source code repositories, algorithm logic, system architecture diagrams, and schema definitions.
• Database snapshots, synthetic test records, and proprietary training datasets.
• Product roadmaps, unreleased feature specifications, commercial fee structures, and partner agreements.
• Any information marked "Confidential," "Proprietary," or which reasonably should be understood to be confidential given the context of disclosure.

The Receiving Party covenants to:

• Hold all Confidential Information in strict confidence using the same degree of care it uses to protect its own sensitive assets (no less than reasonable care).
• Use Confidential Information solely to evaluate, scope, or execute the proposed engineering engagement.
• Restrict access strictly to founders, key engineers, and legal advisors who have a verifiable need-to-know and are bound by written confidentiality covenants at least as protective as this Agreement.
• Never reverse-engineer, decompile, or copy proprietary assets outside authorized staging sandboxes.

Confidential Information does not include information that:

• Is or becomes publicly known through no breach of this Agreement by Receiving Party.
• Was already known to the Receiving Party prior to disclosure without confidentiality restrictions.
• Is independently developed by the Receiving Party without reference to or reliance upon Disclosing Party's Confidential Information.
• Is rightfully received from a third party without duty of confidentiality.

Confidentiality covenants survive for a period of five (5) years from the date of disclosure. Trade secrets and source code structures shall be maintained in confidence indefinitely as permitted by law.

Upon written notice from the Disclosing Party, the Receiving Party shall promptly purge, erase, or return all copies of Confidential Information, retaining only an archival copy required for regulatory compliance.
